| Board of Directors |
| The Board of Directors is the ultimate keeper of the Funds’ philosophy and controls the design of its strategy as well as its implementation. As such the board is in charge of controlling the Management Company and of assessing if it meets all objectives of the Fund and the interest of investors. |

| Advisory Board |
| The Advisory Board consists of one representative of each Investor having a Committed Capital of at least 10% of the total Committed Capital of the Fund. The Advisory Board will advise the Fund on the implementation of the investment policy and will ensure that there is no conflict of interest in relation to the business of the Fund. |

| Financial Services Commission |
| The FSC promotes the development, fairness, efficiency and transparency of financial institutions in Mauritius. Our Fund is regulated and licensed by the FSC as a Private Equity Fund under the Financial Services Act 2007. |

| Our auditors |
| Another major player in the good governance of the Funds is auditors. The latter are among most reputable in international audit firms. They are competent and independent in their missions. |
